Auto-Renewal Service Agreement

1. Acceptance and Modification of Terms of Service

This agreement is entered into by the Voice Recorder member (hereinafter referred to as "Voice Recorder Member") regarding the use of the auto-renewal entrusted deduction service (hereinafter referred to as "this Service") provided to the Voice Recorder Member. This agreement describes the rights and obligations between the Voice Recorder Member and the provider regarding the use of this Service and related aspects. This agreement constitutes a prerequisite for the Voice Recorder Member (whether an individual or an entity) to use this Service. Unless the Voice Recorder Member accepts the terms of this agreement, the Voice Recorder Member has no right to use this Service. The Voice Recorder Member's choice to use this Service shall be deemed as an agreement to be bound by the terms of this agreement.

2. Service Description

2.1 This Service is provided to meet the auto-renewal needs of Voice Recorder Members. Under the premise that the Voice Recorder Member has activated this Service, the Voice Recorder Member independently or entrusts a third-party payment channel to deduct the Voice Recorder Member service fee for the next billing cycle from the balance of the Voice Recorder Member's own recharge account, third-party payment account bound to the Voice Recorder Member account, bank card, or communication account (hereinafter collectively referred to as "Accounts"). The prerequisite for realizing this service is that the Voice Recorder Member has bound their Voice Recorder Member account with the aforementioned Accounts, and the deduction can be successfully made from the aforementioned Accounts.

2.2 Auto-renewal specifically means that, based on the premise of 2.1, the provider independently or entrusts a third-party payment channel to collect the Voice Recorder Member service fee for the next billing cycle through the aforementioned Accounts, record the payment into the Voice Recorder Member's payment history, and correspondingly extend the validity period of the Voice Recorder Membership. The Voice Recorder Member must ensure that the provider can successfully deduct the funds independently or via a third-party payment channel from the aforementioned Accounts. Any renewal failure caused by insufficient deductible balance in the aforementioned Accounts shall be borne by the Voice Recorder Member (including but not limited to termination of Voice Recorder Member services, inability of the Voice Recorder Member to obtain points or rebates, and inability to participate in online or offline member activities, etc.).

2.3 If a Voice Recorder Member chooses a third-party payment channel to enjoy this Service, it shall be deemed as agreeing to authorize the provider to issue deduction instructions to the third-party payment channel on behalf of the Voice Recorder Member, and agreeing that the third-party payment channel can deduct the Voice Recorder Member service fee for the next billing cycle from the aforementioned Accounts based on the issued deduction instructions without verifying the member's account password, payment password, SMS verification code, and other information. The Voice Recorder Member's choice of a third-party payment channel may incur third-party handling fees, and the specific amount is subject to the amount externally indicated by the third party when the service is activated.

2.4 No handling fee is charged to the Voice Recorder Member for activating this Service. However, the provider reserves the right to decide whether to charge based on business needs or market changes, and will make an announcement to Voice Recorder Members on relevant pages.

2.5 When enjoying this Service, Voice Recorder Members shall simultaneously abide by the "Voice Recorder Member Service Agreement" and relevant platform rules. The Voice Recorder Member's choice to use this Service shall be deemed as an agreement to accept the service terms of this Service as well as various announcements and notices issued regarding this Service.

2.6 This Service provided to Voice Recorder Members is limited to the continuation of the use of Voice Recorder Member services. Any behavior that separates the provided content of this Service from the Voice Recorder Member services through illegal means such as malicious cracking does not belong to this Service as agreed in this agreement. All legal consequences arising therefrom shall be borne by the perpetrator, and the perpetrator's legal responsibilities will be pursued according to law.

3. Term of Validity

3.1 Unless otherwise notified or announced, this Service will be valid long-term. This agreement becomes effective after the Voice Recorder Member chooses to accept or use this Service and shall terminate when the Voice Recorder Member terminates this Service or when the Voice Recorder Membership is canceled.

3.2 The Voice Recorder Member has the right to choose to terminate this Service at any time in the Voice Recorder Member account settings. After the termination of this Service, the provision of this Service to the Voice Recorder Member will stop.

4. Refund Restrictions

4.1 After the Voice Recorder Member chooses to use this Service, unless the Voice Recorder Member chooses to terminate this Service, the Voice Recorder Member's authorization for automatic deduction is irrevocable. Based on the fees deducted under the payment method selected by the Voice Recorder Member when activating the auto-renewal service, except for the conditions agreed in the member service agreement, the fees paid by the Voice Recorder Member will not be refunded in any way.

4.2 If an error occurs during the deduction process of the renewal action, the provider and the Voice Recorder Member shall closely cooperate to find out the cause and respectively bear the losses caused by their own faults; if the losses are caused by unequal faults of both parties, both parties shall bear corresponding responsibilities according to the degree of fault; if both parties share the responsibility, the responsibility shall be equally shared by both parties.

5. Notification and Inquiry

5.1 It is up to the Voice Recorder Member to independently choose whether to cancel this Service. If the Voice Recorder Member does not choose to cancel, it shall be deemed that the Voice Recorder Member agrees to allow irregular deduction attempts according to certain rules. Once the deduction is successful, the Voice Recorder Member service for the next billing cycle will be activated for the Voice Recorder Member.

5.2 If the price of the Voice Recorder Member service fee for the billing cycle is adjusted within 24 hours before the auto-renewal: if the adjusted price is lower than the price before the adjustment, the deduction will be based on the adjusted price; if the adjusted price is higher than the price before the adjustment, the deduction will still be based on the price before the adjustment.

5.3 The provider may change or modify the relevant service content, rules, and terms of this agreement based on its business development or technical upgrades. Before making the aforementioned changes or modifications, the modified content will be announced on relevant pages, but there is no obligation to issue separate individual notices. If the Voice Recorder Member does not agree with the modifications to this agreement, they can cancel the acquired services and stop using them; if the Voice Recorder Member continues to use the provided services, it shall be deemed that the Voice Recorder Member has accepted all modifications to this agreement.

6. Termination of Agreement

If any of the following situations occur, the provider has the right to immediately terminate this Service without bearing any responsibility:

• (1) The Voice Recorder Member violates the provisions of this agreement;
• (2) The Voice Recorder Member violates the Voice Recorder Member Agreement and various announcements and notices of the provider or its affiliated companies regarding the Voice Recorder Member services;
• (3) It is deemed that providing this Service to the Voice Recorder Member poses a significant risk.

7. Application of Law and Jurisdiction

7.1 The effectiveness, performance, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. If any provision of this agreement is partially invalid due to a conflict with the current laws of the People's Republic of China, the validity of other parts shall not be affected.

7.2 If any dispute arises concerning the content or execution of this agreement, it shall be settled through friendly negotiation as much as possible; if negotiation fails, all parties to the dispute unanimously agree that any party may file a lawsuit with the People's Court with competent jurisdiction.
